End User Licence Agreement

IMPORTANT – READ CAREFULLY. This End User Licence Agreement ("Agreement") is a legal agreement between you (an individual or a single legal entity, "Licensee") and CERTICONS ("Licensor") for the CertiReport software, which includes the CertiReport Portal and Engine Windows services, the optional Crystal Reports sidecar, the installer, documentation and any updates provided to you ("Software"). By clicking "Accept", installing, copying or otherwise using the Software you agree to be bound by this Agreement. If you do not agree, do not install or use the Software.

1. Grant of licence

Subject to this Agreement and the payment of the applicable fees, Licensor grants Licensee a non-exclusive, non-transferable licence to install and use the Software on servers owned or controlled by Licensee, for the number of SAP Business One companies, servers or users stated in the applicable order or licence file, solely for Licensee's internal business purposes.

2. Evaluation

Where the Software is provided for evaluation, the licence is limited to the evaluation period stated by Licensor, is for non-production use only, and expires automatically at the end of that period.

3. Restrictions

Licensee shall not (a) copy the Software except for a reasonable number of backup copies; (b) rent, lease, lend, sell, sublicense, distribute or provide the Software as a service bureau or hosted offering to third parties; (c) reverse engineer, decompile or disassemble the Software except to the extent expressly permitted by applicable law; (d) remove or alter any proprietary notices; (e) circumvent any licence key, usage limit or technical protection; or (f) use the Software to develop a competing product.

4. Third-party software

The Software includes open-source and third-party components licensed under their own terms, listed in the file THIRD-PARTY-NOTICES.txt in the installation folder. Those terms apply to those components. SAP Business One, SAP HANA, SAP Crystal Reports and Microsoft SQL Server are products of SAP SE and Microsoft Corporation respectively, are not included, and are subject to their own licences; Licensee is responsible for holding valid licences for them.

5. Data and documents

The Software reads data from Licensee's SAP Business One databases, produces reports, and may sign, email and store the resulting documents and write records back to SAP Business One as configured by Licensee. Licensee is solely responsible for the configuration, the content of the reports, the recipients chosen, the handling of personal data in accordance with applicable data-protection law, and the safekeeping of credentials and signing certificates entered into the Software. Licensor does not receive or process Licensee's business data.

6. Ownership

The Software is licensed, not sold. Licensor and its licensors retain all right, title and interest in the Software, including all intellectual-property rights. All rights not expressly granted are reserved.

7. Support and updates

Support and updates are provided according to the support plan in Licensee's order. Updates are subject to this Agreement unless accompanied by separate terms.

8. Limited warranty

Licensor warrants that for ninety (90) days from delivery the Software will perform substantially in accordance with its documentation when used as directed. Licensee's exclusive remedy and Licensor's sole obligation for breach of this warranty is, at Licensor's option, correction of the Software or refund of the licence fee paid for the non-conforming Software upon its return. EXCEPT AS STATED ABOVE, THE SOFTWARE IS PROVIDED "AS IS" AND LICENSOR DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. Licensor does not warrant that the Software will be error-free or uninterrupted, or that reports will be free of errors arising from the underlying data or from Licensee's configuration.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA OR USE, ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. LICENSOR'S TOTAL LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE LICENCE FEES PAID BY LICENSEE FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. Nothing in this Agreement limits liability that cannot be limited under applicable law.

10. Term and termination

This Agreement is effective until terminated. It terminates automatically if Licensee breaches any of its terms. Upon termination Licensee shall stop using the Software and uninstall and destroy all copies. Sections 3, 4, 6, 8, 9, 10 and 12 survive termination.

11. Audit

On reasonable notice, not more than once a year, Licensee shall provide Licensor with information sufficient to confirm that the use of the Software complies with the licensed scope.

12. General

This Agreement is the entire agreement between the parties regarding the Software and supersedes all prior proposals and communications. It is governed by the laws of the country in which Licensor is established, excluding its conflict-of-law rules; the courts of that country have exclusive jurisdiction. If any provision is held unenforceable, the remainder stays in effect. Licensee may not assign this Agreement without Licensor's written consent. Licensee shall comply with applicable export-control laws.
